The private offerings public-market data cannot see

SEC Form D records offerings that rely on Regulation D exemptions. After reducing 763,014 filings and amendments to 475,992 distinct offerings, the latest filed values report $33.55T sold. For the 359,068 finite offerings, the amount sought sums to $33.99T. These are different filed quantities: amount sought is the offering target, while amount reported sold is the cumulative amount raised as of the latest filing.

Amendments are cumulative, so the latest filing wins. Form D/A filings restate an offering rather than adding a new offering. Every result below partitions filings by offering ID, keeps the latest filing date and accession number, and only then aggregates. The page covers Regulation D filings, not all private capital and not issuer valuations.

Each offering appears once, in the year of its latest filing. The solid line is the cumulative amount reported sold as of that filing. The dashed line is the amount sought for finite offerings only. Open-ended offerings have no numeric sought amount and are excluded from that line.

This is not an annual capital-flow series. Amount reported sold is cumulative within each offering, and later amendments move an offering into the amendment year. The 2008 observation predates mandatory electronic Form D filing, and 2026 runs through Jun 30, 2026.

Industry group

The ten leading Form D industry groups are ranked by amount reported sold, with each offering counted once at its latest filing. Industry is the issuer-selected Form D category, not an inferred business classification.

Limited Partnership is the largest entity type by amount reported sold

Legal form divides the resolved offering record differently from industry. The bars show cumulative amount reported sold; the smaller line beneath each label shows the number of distinct offerings.

Equity versus debt

Most resolved offerings are marked as equity only

Categories use the two independent Form D indicators, so an offering may be marked as both equity and debt or as neither. Shares use distinct offerings, while the detail line retains amount reported sold as a separate filed quantity.

Investor access

7.2% of resolved offerings report non-accredited investors

The filing indicator says whether an offering involves non-accredited investors. It does not measure how much those investors contributed, and the chart does not infer participation from the separate investor-count field.

Methodology and limits

Offering ID follows each amendment chain through previousaccessionnumber. Within that chain, the latest filing date wins, with accession number breaking a same-day tie. Totals, categories, and shares are calculated only after this reduction.

The equity field is a text pseudo-boolean: isequitytype contains true or an empty string, not a true/false pair. This page treats only the explicit true token as equity and treats the empty string as not marked. Revenue range and aggregate net asset value range are ordered text buckets, so the page neither averages them nor treats them as numeric values. Indefinite offerings are retained in counts and amount reported sold, but omitted from amount sought because they have no numeric target.
